Terms of Sale
- Effective Date:
- September, 2026
- Company:
- American Industrial Depot LLC
1. Acceptance of Terms
These Terms of Sale apply to purchases made from American Industrial Depot LLC (“American Industrial Depot,” “AID,” “we,” “us,” or “our”).
By placing an order, the customer (“Buyer,” “you,” or “your”) agrees to these Terms of Sale and any applicable written quotation, order confirmation, or separate agreement.
A request for quotation does not, by itself, constitute an accepted purchase order or guarantee product availability, pricing, or delivery.
Any modification to these Terms of Sale must be agreed to in writing by an authorized representative of American Industrial Depot LLC. If a separate written agreement applies to a particular transaction, its terms will govern to the extent of any conflict.
2. Pricing and Quotations
- Pricing: Prices may change before an order is accepted due to changes in product costs, availability, shipping rates, or other relevant factors. The price applicable to an order will be confirmed through the applicable quotation, checkout, or written order confirmation.
- Quotation Validity: Unless a quotation states otherwise, written quotations are valid for 30 calendar days from the date of issuance. Quotations may be subject to product availability and supplier confirmation. Any applicable expiration date or special condition stated in a quotation will apply.
- Pricing Errors: If a product or order is affected by a material pricing, description, or administrative error, American Industrial Depot LLC may contact the Buyer to correct the error or cancel the affected order, subject to applicable law. If payment has already been collected for an order that is canceled, the applicable amount will be refunded.
- Additional Charges: Shipping, freight, special handling, and other applicable charges will be disclosed in the quotation, checkout, or order documentation, as appropriate.
3. Orders, Acceptance, and Cancellation
- Order Acceptance: Submission of an order or receipt of an automated confirmation does not necessarily constitute final acceptance. An order is accepted when American Industrial Depot LLC confirms acceptance through an authorized written communication or otherwise accepts it in accordance with the applicable ordering process.
We may decline or cancel an order where permitted by law, including when a product is unavailable, pricing or product information contains a material error, payment cannot be authorized, or fulfillment is not reasonably possible. Where appropriate, we will notify the Buyer and refund payments collected for the affected order.
- Standard Order Cancellations: Requests to cancel standard product orders must be submitted promptly to [email protected]. Cancellation may be possible before processing, shipment, or other fulfillment commitments begin, but cannot be guaranteed.
- Special, Custom, and Non-Stock Orders: Orders involving custom fabrication, modified products, special-order items, or other products with supplier-specific restrictions may become non-cancelable or non-returnable once production, preparation, procurement commitments, or dispatch has commenced. Applicable restrictions and charges will be communicated where available and permitted by law.
For cancellation and return details, please review our Return & Refund Policy.
4. Payment Terms
- Standard Payment: Unless otherwise agreed in writing, payment is required before shipment or fulfillment. Accepted payment methods and applicable payment instructions will be provided during checkout or in the quotation or invoice.
- Commercial Credit Accounts: Net 30 or other commercial credit terms are available only to eligible business customers approved by American Industrial Depot LLC. Approval is subject to review and, where applicable, a written credit agreement. Credit terms are not automatic and must be confirmed in writing.
- Late Payments: For approved credit accounts, overdue balances may be subject to a late charge of 1.5% per month (18% per annum), or the maximum amount permitted by applicable law, whichever is less, subject to the applicable credit agreement.
- Payment Obligations: The Buyer is responsible for paying all undisputed amounts due under the applicable order and agreed payment terms. Any payment dispute should be communicated promptly with the relevant invoice or order reference.
5. Shipping, Freight, and Delivery
- Shipping Arrangements: Shipping methods, fulfillment arrangements, processing times, and estimated delivery dates vary by product, availability, order size, destination, and transportation requirements. Orders may ship from different locations and may arrive in separate shipments.
- Delivery Estimates: Any processing times, lead times, or carrier transit estimates are estimates unless expressly guaranteed in writing. Actual delivery may be affected by product availability, carrier schedules, weather, transportation disruptions, or other circumstances beyond our reasonable control.
- Shipping and Freight Charges: Shipping charges may be included in a quotation or displayed during checkout. Additional charges may apply to liftgate service, residential delivery, limited-access locations, inside delivery, construction sites, or other special delivery requirements. Applicable charges will be communicated through the relevant quotation or order documentation.
- Shipping Terms and Risk of Loss: The shipping term applicable to an order will be stated in the relevant quotation, order confirmation, or other applicable written documentation. Where an order expressly specifies FOB Shipping Point (Origin), risk of loss and responsibility for the goods generally transfer as provided by that term and applicable law when the goods are delivered to the carrier at the designated shipping point. Other agreed shipping terms may apply where expressly stated in writing.
Buyers should review the shipping terms and delivery requirements provided for their specific order.
- Inspection and Freight Damage: Buyers should inspect shipments promptly upon delivery. Visible damage to LTL freight should be recorded on the Bill of Lading (BOL) before signing, where applicable. Report damaged or missing items to [email protected] as soon as possible, preferably within three business days of delivery, and provide photographs, the order number, and relevant shipping documents.
Prompt reporting helps us review the issue and coordinate with the carrier or other relevant parties. Applicable legal rights are not waived solely by the reporting guidance in this section.
For additional information, see our Shipping Policy & Fulfillment.
6. Returns, Refunds, and Freight Claims
Returns and refunds are governed by our Return & Refund Policy, subject to applicable law and any specific written terms agreed for an order.
- Return Authorization: Buyers must contact American Industrial Depot LLC before returning products. Returns may be refused or delayed if prior authorization is required and has not been obtained.
- Restocking Fees: Eligible buyer-remorse returns may be subject to a restocking fee of up to 30%, as described in the Return & Refund Policy and subject to the applicable product and order terms.
- Shipping and Return Freight: Original shipping charges and return freight costs will be handled in accordance with the Return & Refund Policy and the applicable order terms. Where an error by American Industrial Depot LLC is confirmed, responsibility for associated shipping or return costs will be addressed accordingly.
- Damaged, Defective, or Incorrect Products: Buyers should report damaged, defective, or incorrect products promptly, provide relevant order details and supporting documentation, and allow us to review the issue. Available remedies may include a return, replacement, credit, refund, or manufacturer warranty process, depending on the circumstances, applicable terms, and law.
7. Product Warranties and Disclaimer
- Manufacturer Warranties: Products may be covered by warranties provided by their respective manufacturers. Where applicable, warranty information will be provided with the product, quotation, or other available documentation. Any manufacturer warranty is subject to the manufacturer's terms and conditions.
- Disclaimer of Warranties: To the extent permitted by applicable law, American Industrial Depot LLC does not provide independent warranties beyond those expressly stated in writing. Any exclusion or limitation of implied warranties, including implied warranties of merchantability or fitness for a particular purpose, applies only to the extent permitted by law.
Nothing in these Terms of Sale excludes or limits a warranty or other right that cannot lawfully be excluded or limited.
8. Limitation of Liability
To the extent permitted by applicable law, American Industrial Depot LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or relating to a product or order, including lost profits, business interruption, downtime, or labor costs.
To the extent permitted by applicable law, our aggregate liability for a claim relating to a particular product will not exceed the amount paid for that product. This limitation does not apply to liability that cannot legally be excluded or limited.
Nothing in these Terms of Sale limits any rights or remedies that applicable law does not permit the parties to waive.
9. Governing Law and Disputes
These Terms of Sale will be governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles, except where applicable law requires otherwise.
Subject to applicable law, disputes arising from or relating to these Terms of Sale or a purchase from American Industrial Depot LLC will be brought in the state or federal courts located in Wyoming, and the parties consent to the jurisdiction of those courts.
Nothing in this section limits any mandatory rights or protections available to a Buyer under applicable law.
